Quotation Terms and Conditions

Validity

Quotations are valid for thirty (30) days from the issue date.

Hold-order pricing is valid for thirty (30) days from Coretron’s acceptance of a purchase order (“P/O”). Delayed or phased releases beyond this period are subject to price and lead-time reconfirmation.

Lead times are valid for seven (7) days from the quotation date and must be reconfirmed at the time of release.

Lead times and delivery dates are estimates and are not guaranteed unless expressly agreed by Coretron in writing.

Coretron is not liable for delays caused by circumstances beyond its reasonable control, including supplier delays, transportation disruptions, labour disruptions, customs delays, shortages, governmental actions, or force majeure events.

Scope

Quotations are based on the bill of materials, fixture schedule, quantities, specifications, drawings, and/or other project information provided to Coretron.

Coretron is not responsible for omissions, quantity errors, specification errors, or items not included in the information provided.

Pricing may be revised in the event of deletions, substitutions, quantity changes, specification changes, release changes, phased releases, or other changes to the quoted scope.

All transactions are subject to applicable delivery terms, product availability, credit approval, and Coretron’s acceptance of the purchase order.

Terms of Payment

Payment terms are subject to credit approval and are as stated on the applicable quotation or invoice.

Accounts approved by Coretron in writing may qualify for Net 30 terms. Where Net 30 terms apply, payment is due thirty (30) calendar days from the invoice date.

Unless other payment terms have been approved by Coretron in writing, standard payment terms are a fifty percent (50%) deposit prior to order release and the remaining fifty percent (50%) balance due prior to shipment.

Payment may be made by cheque, e-Transfer, or wire transfer. Credit card payments are not accepted.

Deposits are non-refundable once an order has been processed, ordered, released, or placed into production.

Coretron may suspend production, shipments, quotations, technical support, or further deliveries where invoices are past due.

Title to products remains with Coretron until payment has been received in full. Risk of loss transfers to the customer upon shipment.

Special-Order Products
Custom, modified, project-specific, special-order, and non-stock products may require a non-refundable deposit prior to production.
Once ordered, released, processed, or placed into production, these products are non-cancellable, non-refundable, and non-returnable unless otherwise approved by Coretron in writing.

Cancellation / Returns
Orders may not be cancelled after release unless approved by Coretron in writing.
Approved cancellations may be subject to cancellation charges, including non-recoverable material, manufacturing, engineering, freight, administrative, or other costs incurred by Coretron.
Returns require prior written authorization from Coretron and may be subject to restocking fees.

Freight / Delivery
Unless otherwise agreed by Coretron in writing, the customer is responsible for applicable freight, shipping, handling, duties, taxes, storage charges, redelivery charges, and other associated costs.
Additional costs resulting from customer-requested delivery changes, site restrictions, failed delivery attempts, storage requirements, or delayed acceptance of goods may be charged to the customer.

Warranty
Standard Coretron products carry a five (5) year limited warranty from the date of shipment.
Certain products may carry an extended warranty of up to ten (10) years where specifically indicated.
Full coverage, exclusions, procedures, and remedies are governed by Coretron’s Limited Warranty.

Limitation of Liability
To the maximum extent permitted by law, Coretron shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of use, project delay costs, or third-party claims.
Coretron’s aggregate liability relating to an affected product shall not exceed the amount originally invoiced by Coretron for that product, except where otherwise required by law.

Agreement
These Quotation Terms and Conditions together with the applicable Coretron quotation govern the transaction.
Additional or conflicting terms contained in a customer’s purchase order, contract, or other document will not apply unless expressly accepted by Coretron in writing.
Proceeding with an order confirms acceptance of these terms.
